IMPORTANT: Please read these Terms of Use carefully before using OneSuite. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, you may not use OneSuite.

1. Introduction and Acceptance

1.1 About OneSuite

OneSuite (the "Service") is a comprehensive business management platform offered through app.onesuite.io and related subdomains, websites, and applications. The Service enables you to manage projects, CRM and lead pipelines, documents, invoices, client portals, teams, email communications, and related business workflows.

OneSuite is operated by Mailbluster LLC, a company registered in Delaware, United States, with its principal office at 2810 N Church St, Wilmington, Delaware, United States, 19802.

1.2 Agreement Structure

These Terms of Use, together with the following documents (collectively, the "Agreement"), set forth the terms under which you may use the Service:

  • Privacy Policy
  • Cookie Policy
  • Acceptable Use Policy
  • Data Processing Terms
  • Email Integration Terms (if applicable)

1.3 Definitions

In this Agreement:

"You" or "User" refers to the individual or entity using the Service.

"We", "Us", or "OneSuite" refers to Mailbluster LLC.

"Content" refers to all data, text, files, documents, images, invoices, proposals, contracts, or other materials that you upload, create, or store through the Service.

"Client" refers to your customers or clients whom you invite to your client portal.

"Team Members" refers to employees, contractors, or collaborators whom you invite to your OneSuite account.

"Third-Party Services" refers to external services integrated with OneSuite, including payment processors, email providers, and other connected applications.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use OneSuite, you must:

  • Be at least 18 years old
  • Be a business or individual legally capable of entering into binding contracts
  • Complete the registration process
  • Agree to these Terms of Use
  • Provide accurate, complete, and current registration information

If you are signing up on behalf of a company or organization, you represent and warrant that you are authorized to bind that entity to this Agreement.

2.2 Consumer vs. Business Users

You are considered a consumer if you are an individual using the Service wholly or mainly for personal use, not in connection with a trade, business, or profession. Certain provisions of this Agreement may apply differently to consumers as required by applicable law, particularly regarding limitations of liability and dispute resolution.

2.3 Account Creation and Acceptance

By clicking "Get Started", "Sign Up", or "Sign in with Google", you confirm that you have read and understood this Agreement and agree to be bound by it. A binding contract is formed upon successful account creation.

2.4 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breaches

We are not liable for losses arising from unauthorized use of your account. Passwords are encrypted, and we cannot access your current password. We can only reset your password for security reasons.

2.5 Multiple Businesses

You may add multiple businesses to your OneSuite account. Each business may require a separate subscription depending on your plan. All businesses can be managed through a unified dashboard.

3. Service Description and Features

3.1 Core Features

OneSuite offers an integrated business management platform that includes:

  • Project Management: Task management, project tracking, team collaboration, time tracking
  • CRM and Lead Pipeline: Contact management, lead tracking, sales pipeline, deal management
  • Invoicing: Invoice creation, payment tracking, online payment collection, recurring billing
  • Document Management: Proposals, contracts, agreements with electronic signatures
  • Client Portal: Branded portal for client collaboration and transparency
  • Team Management: Team member invitations, role-based access control, permissions
  • Email Integration: Connect email accounts, sync communications with CRM

3.2 Service Availability

We commit to 99% monthly uptime for the Service. Uptime is calculated as: ((total minutes in month minus downtime minutes) divided by total minutes in month) multiplied by 100.

The uptime commitment does not apply to:

  • Scheduled maintenance (announced in advance where possible)
  • Force majeure events
  • Third-party service outages (including email providers, payment processors)
  • Issues caused by your equipment or internet connection

3.3 Support Services

We provide customer support via live chat and email. We aim to respond to all support requests within 24 hours on business days (Monday through Friday, excluding US holidays).

3.4 Service Modifications

We may modify the Service or individual features at any time, including adding new features, changing existing features, or discontinuing features. We will provide reasonable notice of material changes that negatively affect your use of the Service.

4. Subscriptions, Pricing, and Payment

4.1 Free Trial

We offer a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial, you must select a paid plan to continue using the Service.

4.2 Free Services

Certain limited features may be available for free ("Free Services"). Free Services are provided without warranty, and we may terminate access at any time without notice or liability. Free Services may include OneSuite branding on content you create or share.

4.3 Paid Subscriptions

Paid subscriptions are available in multiple tiers. Current pricing and plan details can be found at onesuite.io/pricing. All plans include:

  • Unlimited projects, clients, invoices, and documents
  • Full client portal access
  • Core business management features

4.4 Billing and Auto-Renewal

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription at any time via Settings > Billing in your dashboard or by emailing [email protected]. Cancellation takes effect at the end of your current billing period. No refunds are provided for prorated billing periods, except as stated in Section 4.7.

4.5 Payment Processing

Payments are processed through Stripe, a third-party payment processor. We do not store full credit card information. By providing payment information, you authorize us to charge your payment method for all applicable fees. If payment fails, you may lose access to paid features until the balance is settled.

4.6 Price Changes

We may change subscription fees at any time. You will be notified by email at least 30 days before a price increase takes effect. The new pricing will apply from the start of your next billing period after notification. If you do not agree with the price increase, you may cancel your subscription before the new pricing takes effect.

4.7 Refund Policy

We offer a 30-day money-back guarantee on subscription fees. To be eligible for a refund:

  • You must request the refund within 30 days of upgrading to a paid plan
  • Refunds apply only to subscription fees purchased directly from OneSuite
  • Refunds will be issued to the original payment method within 5-10 business days

Non-refundable: Pay-as-you-go fees, add-on purchases, and requests after the 30-day period. For purchases through third parties, their refund policies apply.

4.8 Taxes

All fees are exclusive of applicable taxes (VAT, sales tax, GST, etc.). You are responsible for paying all taxes associated with your use of the Service, unless we are legally required to collect them. If we are required to collect taxes, they will be added to your invoice.

5. Email Integration Services

5.1 Email Connection Authorization

OneSuite allows you to connect your email accounts (such as Microsoft Outlook or Gmail) to synchronize emails with your CRM and send emails directly from the platform. By connecting your email account, you authorize OneSuite to:

  • Access and read your emails for synchronization with your CRM
  • Store email metadata and content to display in your OneSuite account
  • Send emails on your behalf when you compose messages in OneSuite

5.2 Permitted Use of Email Data

Unless you have explicitly granted permissions related to your use of OneSuite, we use email access solely for: (a) synchronizing email messages, calendar entries, and contacts with your CRM; and (b) securing email communications related to your business operations. We do not use email data for advertising purposes and do not sell it to third parties.

5.3 Your Responsibilities

When using the email integration, you agree to:

  • Comply with all applicable anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
  • Send emails only to recipients who have consented to receive them
  • Not use the email integration for spam, phishing, or other abusive purposes
  • Comply with the terms of use of your email provider (Microsoft, Google, etc.)

5.4 Email Provider Terms

When you connect a Microsoft Outlook account, you agree to comply with Microsoft's terms of use and acknowledge that Microsoft's privacy policy applies to your Outlook data. You can revoke access at any time through your Microsoft account settings or by disconnecting the integration in OneSuite.

For detailed information about email integration, data processing, and organizational controls, please read our Email Integration Terms, which are incorporated by reference into this Agreement.

5.5 Disconnection and Data Deletion

When you disconnect your email integration, all synchronized email data associated with that connection will be permanently deleted from OneSuite within 72 hours. This deletion is final and cannot be reversed.

6. Client Portal and Team Management

6.1 Client Portal Access

You may invite your clients to access a branded client portal. There is no limit on the number of clients you can invite, and client access does not count against your team member limit. You are responsible for:

  • Ensuring your clients agree to appropriate terms before accessing the portal
  • Managing client permissions and access levels
  • Content shared with clients through the portal

6.2 Team Members

You may invite team members (employees, contractors, freelancers) up to your plan's member limit to your OneSuite account. You are responsible for your team members' compliance with this Agreement and for all actions they take within your account. Each team member must have their own login credentials.

7. Electronic Signatures

7.1 Electronic Signature Functionality

  • Serves as a "workflow and convenience feature"
  • Enables collecting signatures as part of the business workflow

7.2 Not Legally Binding - IMPORTANT NOTICE:

Electronic signatures collected through OneSuite are NOT intended to be legally binding signatures and should NOT be treated as such. OneSuite's electronic signature feature is provided solely as a workflow and convenience tool. We make no representations or warranties regarding the legal validity, enforceability, or admissibility of signatures collected through the Service.

7.3 Your Responsibility - You are solely responsible for:

  • Determining whether eSignatures are appropriate for your documents
  • Determining whether documents require legally binding execution
  • Compliance with document execution laws
  • Obtaining proper legal signatures when required
  • We strongly recommend consulting legal counsel for formal execution

7.4 No Legal Advice

  • OneSuite does not provide legal advice
  • Nothing in the Service should be construed as legal advice
  • For binding signatures, appropriate legal signature services must be used

7.5 Limitation of Liability - We are NOT liable for:

  • Damages, losses, or disputes arising from reliance on OneSuite signatures
  • Unenforceable contracts
  • Disputed agreements
  • Claims that signatures are invalid
  • The user acknowledges and accepts all risks

8. White-Label Services

White-label functionality is available as a paid add-on. When using white-label features:

  • You may use your own domain and branding for your client portal
  • You may remove or replace OneSuite branding where the feature allows
  • You remain bound by all other terms of this Agreement
  • You are responsible for ensuring your branding complies with applicable laws
  • White-label does not grant you ownership rights in the underlying technology or OneSuite's intellectual property

9. API Access and Third-Party Integrations

9.1 REST API

OneSuite provides REST API access for integrations. API usage is subject to rate limits to ensure service stability. You agree not to exceed reasonable usage limits or use the API in a way that impairs the service for other users. API documentation is available at docs.onesuite.io.

9.2 Third-Party Integrations

OneSuite integrates with various third-party services, including but not limited to Pabbly Connect, Stripe, PayPal, RazorPay, and QuickPay. Your use of these integrations is subject to the respective third party's terms of use. We are not responsible for the availability, accuracy, or performance of third-party services.

9.3 Payment Processor Integration

You may connect your own payment processor accounts (Stripe, PayPal, RazorPay, QuickPay) to receive payments from your clients through OneSuite. OneSuite does not charge transaction fees on payments you receive from your clients; you pay only the fees charged by your payment processor. You are solely responsible for your agreement with your payment processor and compliance with their terms.

10. Content and Intellectual Property

10.1 Your Content

You retain all ownership rights in content you create or upload to OneSuite. By using the Service, you grant us a limited, non-exclusive, worldwide license to use your content solely for the purpose of providing the Service. This license includes the right to:

  • Store, display, and transmit your content as necessary to operate the platform
  • Create backups and ensure data redundancy
  • Make content available to team members and clients you designate

You represent and warrant that you own or have the necessary rights to all content you upload, and that your content does not infringe any intellectual property rights, privacy rights, or other rights of third parties.

10.2 Our Intellectual Property

OneSuite, including its design, features, source code, and underlying technology, is the intellectual property of Mailbluster LLC and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. "OneSuite" and the OneSuite logo are trademarks of Mailbluster LLC. You may not use our trademarks without prior written permission.

10.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual, irrevocable license to use and incorporate such feedback into our products and services without any obligation to you.

10.4 DMCA and Copyright Infringement

We respect intellectual property rights. If you believe that material available on OneSuite infringes your copyright, please notify us at [email protected] with: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a good faith statement, and (e) a statement that the information is accurate and you are authorized to act on behalf of the copyright owner.

11. Acceptable Use Policy

11.1 Prohibited Activities

You agree not to use OneSuite to:

  • Violate applicable laws or regulations
  • Infringe intellectual property rights of others
  • Send spam, phishing emails, or unsolicited communications
  • Use purchased, rented, or third-party email lists
  • Distribute malware, viruses, or malicious code
  • Gain unauthorized access to our systems or other users' accounts
  • Disrupt the Service or other users' experience
  • Reverse-engineer, decompile, or disassemble parts of the Service
  • Use the Service to harm minors in any way
  • Conduct fraudulent or deceptive activities
  • Damage our business reputation or goodwill

11.2 Enforcement

We may suspend or terminate your account if you violate these rules. We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including removing content, suspending accounts, and reporting violations to law enforcement authorities.

11.3 Reporting Abuse

If you believe someone is violating these terms, please notify us promptly at [email protected]. If you have received spam from a OneSuite user, we want to know about it.

12. Data Protection and Privacy

12.1 Privacy Policy

We process your personal data in accordance with our Privacy Policy, which is incorporated by reference into this Agreement. Please read our Privacy Policy at onesuite.io/privacy to understand our data practices.

12.2 Your Compliance Obligations

You agree to comply with all applicable data protection laws (including GDPR, CCPA, and other regulations) when using the Service, particularly when processing personal data of your contacts, clients, leads, and team members. You must have an appropriate legal basis for processing personal data and provide privacy notices as required by law.

12.3 Data Processing Terms

To the extent we process personal data on your behalf in providing the Services, our Data Processing Terms apply and are incorporated into this Agreement. These terms set forth the rights and obligations of each party regarding data protection compliance.

12.4 Data Security

We implement appropriate technical and organizational measures to protect your data from unauthorized access, loss, or alteration. However, no system is completely secure, and you acknowledge the inherent risks of data transmission over the Internet.

13. Termination and Account Closure

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the dashboard or by contacting [email protected]. All outstanding invoices must be paid before termination is complete.

13.2 Termination by Us

We may immediately terminate or suspend your account if you:

  • Breach a material provision of this Agreement
  • Fail to pay fees on time
  • Violate our Acceptable Use Policy
  • Are subject to insolvency proceedings, bankruptcy, or similar circumstances

13.3 Effect of Termination

Upon termination, all data associated with your account will be immediately and permanently deleted from our systems unless you have previously exported your data. We do not retain your data after account deletion unless required by law. You are responsible for exporting any data you wish to retain before terminating your account.

13.4 Survival

Sections of this Agreement that by their nature should survive termination will remain in effect, including: intellectual property rights, limitation of liability, indemnification, data protection obligations, and dispute resolution provisions.

14. Limitation of Liability

14.1 For Business Users

To the maximum extent permitted by law:

  • The Service is provided "as is" without any express or implied warranties
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for lost profits, data loss, business loss, or goodwill
  • Our total liability does not exceed the fees you paid in the 12 months preceding the claim

14.2 For Consumers

If you are a consumer, we are liable for foreseeable losses and damages caused by our failure to comply with these terms or lack of due care. We do not exclude liability for death or personal injury caused by negligence, fraud, or violation of your statutory consumer rights.

14.3 Exceptions to Limitation

Nothing in this Agreement excludes our liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Mailbluster LLC, its officers, directors, employees, and agents from all claims, damages, losses, or costs (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your content
  • Your breach of this Agreement
  • Your violation of third-party rights, including intellectual property rights or privacy rights

16. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, labor disputes, power outages, internet service provider failures, or cyberattacks by third parties.

17. Changes to These Terms

We may amend these terms at any time. We will notify you of material changes by email to the address associated with your account or through a notice in the Service at least 7 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the amended terms. If you do not agree with the changes, you must stop using the Service and terminate your account before the changes take effect.

18. General Provisions

18.1 Entire Agreement

This Agreement, including all policies incorporated by reference, constitutes the entire agreement between you and Mailbluster LLC and supersedes all prior agreements and understandings.

18.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.3 Waiver

Our failure to enforce any provision of this Agreement does not constitute a waiver of our right to enforce it later. A waiver of one breach does not constitute a waiver of any subsequent breach.

18.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or asset sale. Any attempted assignment in violation of this section is void.

18.5 No Partnership

Nothing in this Agreement creates a partnership, joint venture, employment relationship, or agency relationship between you and Mailbluster LLC. Neither party is authorized to bind the other or incur obligations on behalf of the other.

18.6 Third-Party Rights

This Agreement does not grant any rights to third parties. Only you and Mailbluster LLC have rights under this Agreement.

18.7 Language

This Agreement is drafted in the English language. Any translation is for convenience only. In the event of a conflict between the English version and a translation, the English version shall prevail.

19. Governing Law and Dispute Resolution

19.1 For Business Users

This Agreement is governed by the laws of the State of Delaware, United States, excluding conflict of law rules. Disputes shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of these courts.

19.2 For Consumers

If you are a consumer, you may bring legal proceedings in the courts of your country of residence. You also benefit from the mandatory consumer protection provisions of your local law. Nothing in these terms affects your statutory consumer rights.

19.3 Informal Dispute Resolution

Before filing a lawsuit, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within 30 days. If we cannot resolve the dispute informally, either party may initiate formal legal proceedings.
